Contract agreement

General

1. Terms

By accessing this School, you are agreeing to be bound by these Terms of Use, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this School are protected by applicable copyright and trademark law.


2. Limitations

In no event shall the School be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on the School’s website, even if the School or an authorized of the School has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

The School has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by the School of the site. Use of any such linked website is at the user's own risk.

Online course material

1. Use license

  1. Permission is granted to temporarily download one copy of any downloadable materials in the School’s courses for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
  2. modify or copy the materials;
  3. use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
  4. attempt to decompile or reverse engineer any software contained on the School’s web site;
  5. remove any copyright or other proprietary notations from the materials; or
  6. transfer the materials to another person or 'mirror' the materials on any other server.
  7. This license shall automatically terminate if you violate any of these restrictions and may be terminated by The Paradigm Shift Project at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

3. Revisions and Errata

The materials appearing on the School’s website may include technical, typographical, or photographic errors. The School may make changes to the materials contained on its web site at any time without notice. The School does not, however, make any commitment to update the materials.



Consultancy and Website Projects

1. Payment terms

Payment is made online through the Teachable platform. In case of a payment plan payments will be deducted from a credit/debit card automatically. For additional services an invoice is sent directly and are required to be paid 100% upfront. 


2. Project cancellation

If the project is cancelled or postponed less than 10 working days before the scheduled start date, we will charge up to 50% of the fee. If the project is cancelled or postponed less than 5 working days before the scheduled start date we will charge up to 100% of the fee.


3. Usage rights

After the work is completed and payment has been received, the client will own the rights to the design and material.


4. Additional expenses

Resources needed for the design, such as fonts, icons, templates, third party software, stock images, fonts, domain name registration, web hosting or comparable expenses, are not included in the prices above. Those will be paid for by the client, and the right to use them shall be theirs.


5. Supply of materials

All materials and information required to commence work must be supplied by the client. Such materials may include, but are not limited to, photographs, written copy, logos and other printed material. Where there is any delay in supplying these materials to us which leads to a delay in the completion of work, we have the right to extend any previously agreed deadlines by a reasonable amount. Where you fail to supply materials, and that prevents the progress of the work, we have the right to invoice you for any part or parts of the work already completed.


6. Additional in scope work

Additional work for components that appear in the scope of work will be charged $120 per hour (e.g. beyond the number of revisions described).


7. Additional out of scope work

New components that are not described in the scope of work will be assessed in a new estimate.


8. Project delays and client liability

Any time frames or estimates that we give are contingent upon your full cooperation. During the project there is a certain amount of feedback required in order to progress to subsequent phases. It is required that a single point of contact be appointed from the client's side and be made available on a daily basis in order to expedite the feedback process. In case of a delay from the client's side without a proper reason, a late fee is charged of 5% of the total amount per week.


9. Approval of work

On completion of the work you will be notified and have the opportunity to review it. You must notify us in writing of any unsatisfactory points within 7 days of such notification. Any of the work which has not been reported in writing to us as unsatisfactory within the 7-day review period will be deemed to have been approved. Once approved, or deemed approved, work cannot subsequently be rejected and the contract will be deemed to have been completed.


10. Rejected work

If you reject any of our work within the 7-day review period, or not approve subsequent work performed by us to remedy any points recorded as being unsatisfactory, and we, acting reasonably, consider that you have been unreasonable in any rejection of the work, we can elect to treat this contract as at an end and we reserve the right to claim payment for the completed work.


11. Consequential loss

We shall not be liable for any loss or damage which you may suffer which is in any way attributable to any delay in performance or completion of our contract, however that delay arises.


12. Consequential loss

We reserve the right to subcontract any services that we have agreed to perform for you as we see fit.
